Shoprite PicardiRebel Deal: Commission Says Yes, Tribunal Decides

The Competition Commission has recommended approval with a refurbishment condition, but the deal is not lawful until the Tribunal rules.

What Shoprite is buying

The Shoprite PicardiRebel deal has cleared the Competition Commission but is not yet done. The Commission has recommended that the Competition Tribunal approve Shoprite Checkers’ purchase of the liquor retailer, subject to conditions. The Tribunal has still to rule, and only its decision makes the transaction lawful.

The recommendation became public on 18 September 2026. The Commission found the transaction unlikely to substantially lessen or prevent competition in any relevant market, which is the statutory test it applies.

PicardiRebel is a specialist liquor retailer that has traded for more than 45 years. Reporting on the Commission’s recommendation puts the business at 34 outlets, including one wholesaler, spread across eight of the nine provinces: Western Cape, Eastern Cape, Gauteng, KwaZulu-Natal, Mpumalanga, Limpopo, Northern Cape and Free State. It sells online as well as in store, and sits at the premium end of the market with imported whiskies and specialist wines.

Shoprite has not disclosed what it is paying.

How much of the liquor market this gives Shoprite

The group already runs two liquor chains of its own, plus OK Liquor through its franchise division.

Checkers LiquorShop is the upmarket of the two existing brands and is where PicardiRebel would sit. That division reported sales of R8.3 billion in the 2026 financial year, growth of about 14.5%, on the back of 40 new stores.

The addition of 34 stores is small against a base of 926. The Commission’s reasoning turned on format rather than size: Shoprite’s liquor outlets generally sit next to or near its supermarkets, while PicardiRebel runs standalone specialist stores serving a different shopping trip.

The condition attached

The recommendation is not unconditional. The Commission wants the merged business to commit capital expenditure, including refurbishing the PicardiRebel stores within a set period after the deal is implemented.

Conditions of this kind are public interest commitments rather than competition remedies. They bind the buyer to spend on the acquired business instead of stripping it. The Commission has not published the rand value of the commitment or the deadline.

More stores either way

Shoprite told the market alongside its 2026 results that it plans 211 new outlets in the 2027 financial year across its non-franchise brands. Of those, 77 are Shoprite LiquorShop and 31 are Checkers LiquorShop, so 108 of the 211 planned openings are liquor stores.

Put next to the PicardiRebel purchase, the acquisition is the smaller part of the group’s liquor expansion. Shoprite is opening more than three times as many liquor stores organically in one year as it is buying.

The third deal in two months

PicardiRebel follows two other transactions announced with Shoprite’s results for the 52 weeks to 28 June 2026.

The group signed an agreement on 20 August 2026 to buy all of Vida e Caffe, the coffee chain with about 400 corporate and franchise outlets across Africa. That deal is also subject to regulatory approval and is expected to become effective in Shoprite’s 2027 financial year. Shoprite also took an initial 51% of R&A Cellular, a payments and technology business, with effect from 14 August 2026.

Between them the three transactions move Shoprite further away from grocery retail alone. The group already operates Medirite pharmacies, Petshop Science, Checkers Outdoor, Little Me and Uniq clothing.

What it means for shoppers

Nothing changes yet. Until the Tribunal rules, PicardiRebel trades as it does now.

Shoprite has not said whether the stores will be rebranded or kept as a separate banner. That is the decision worth watching, because a rebrand would fold a specialist chain into a supermarket group’s liquor format, while a separate banner would keep it as it is.

On price, the Commission’s finding is that the two businesses are not really competing for the same purchase. If that holds, the deal is not the kind that moves shelf prices. What it does do is add another specialist format to a group that is already the largest private employer in the country, with roughly 2 577 stores in South Africa.

The wider retail picture is less comfortable. Pick n Pay closed 56 stores in its 2026 financial year and Woolworths has flagged shoppers trading down to essentials. Shoprite is buying while others are cutting.

Where to check

The Competition Commission publishes merger recommendations at compcom.co.za and the Competition Tribunal publishes its decisions and hearing dates at comptrib.co.za. The Tribunal’s order, when it comes, is the document that settles whether the deal proceeds and on what terms.
