Shoprite’s Vida deal would put its brand inside SPAR stores

The agreement for all of Vida e Caffè's roughly 400 stores was signed on 20 August and still needs conditions precedent and regulatory approval, with no price disclosed.

The Shoprite Vida e Caffe deal has not been completed. Shoprite Holdings signed a purchase agreement on 20 August 2026 to acquire 100% of the coffee chain, and the transaction remains subject to conditions precedent and regulatory approval.

The buyer is Shoprite Holdings, the JSE-listed group headquartered in Brackenfell. Checkers is one of its supermarket brands and is not a party to the deal.

If it completes, the transaction would hand Shoprite a business that currently operates coffee counters inside the stores of one of its largest grocery rivals.

Vida e Caffè signed a partnership with SPAR South Africa in April 2025 to install full-service coffee and beverage stations inside SPAR and KWIKSPAR outlets. That rollout began at five stores and was still expanding in June 2026, when new sites opened at SPAR Langebaan, SPAR Keimoes and SuperSpar St Francis.

Vida counters also sit inside Exclusive Books and Builders stores.

What has actually been agreed

Shoprite announced the Vida agreement alongside its results for the 52 weeks to 28 June 2026. Group chief executive Pieter Engelbrecht described the Vida agreement and a second acquisition as “relatively small but strategic”.

Neither transaction was categorisable under JSE listing requirements, which is why no purchase price has been published for either.

Engelbrecht said Vida strengthens the group’s position in the coffee and quick-service restaurant category and brings operational expertise in a fast-growing market. He pointed to the range of store formats Vida operates, including high street, forecourt, drive-through, corporate office and retail sites, alongside a digital offering.

R&A Cellular founder and chief executive Rui Campos said of his own deal: “This partnership marks a transformational moment for R&A Cellular.”

The SPAR question nobody has answered

The commercial logic of buying Vida is not in dispute. The awkward part is what Vida already is.

Vida is not a standalone chain sitting on its own street corners. A meaningful share of its growth has come from placing branded counters inside other retailers’ footprints, and SPAR is the most significant of those hosts.

SPAR South Africa’s head of convenience and partnerships, Aqeehl Najaar, framed the 2025 agreement as adding to the SPAR network’s coffee credentials. Vida chief executive Darren Levy said at the time that the arrangement extended Vida’s reach into more communities.

Neither party was contemplating a Shoprite-owned Vida when those statements were made.

Shoprite has not said what happens to the SPAR, Exclusive Books or Builders arrangements if the deal closes, and no public statement from SPAR on the change of ownership could be traced. Whether a competitor keeps hosting a rival group’s brand inside its own stores is the single most consequential open question in this transaction, and it has not been put to either company on the record.

The same applies to Vida’s franchisees. Roughly 400 stores span corporate and franchise sites, and no franchise position has been set out.

Why Shoprite wants a coffee chain

The results explain the appetite. Merchandise sales from continuing operations rose 7.2% to R270.8 billion in the year, adding R18.1 billion. Supermarkets RSA, which accounts for 84.5% of group sales, grew 7.1%.

The standout was Checkers Sixty60, where sales rose 34.5% to R25.5 billion. Growth in the core supermarket brands was slower, with Shoprite and Usave running price deflation.

Shoprite is one of South Africa’s largest private employers, with 174 430 staff at year end, in an economy still carrying the pressures visible in the second quarter unemployment figures.

Adjacent businesses are where the group is now buying growth. Vida serves more than two million shots of coffee a month and planned more than 50 new stores this financial year. It has been trading for 25 years, opened its 400th store in Cape Town in June, and operates in Ghana, Mauritius, Zambia, Eswatini, Botswana, Namibia and Angola. It bought the Sweetbeet chain in 2021.

Vida’s Levy has argued the local market is nowhere near full. “There is huge demand for coffee in spaces where there isn’t yet speciality coffee,” he told the Financial Mail in May.

The results land alongside the first real growth signal in the South African economy in months.

What is still unresolved

Several things have not been disclosed. Shoprite has not published a purchase price for Vida or for R&A Cellular. It has not named which regulators must approve the Vida transaction, has not listed the conditions precedent, and has not given a target completion date.

It has also not said whether Vida will continue to trade as an independent brand, whether Vida counters will appear in Shoprite, Checkers or Usave stores, or what the transaction means for existing host retailers and franchise partners.

Until those approvals are granted, nothing changes for customers. Vida stores, including those inside SPAR outlets, continue to operate under their current ownership.
