Pepkor sets April 2027 launch for new South African bank

The Pep and Ackermans owner is targeting 1.8 million primary banking customers within five years on a build budget now capped at R920 million.

What we know so far

Pepkor Holdings will launch its new South African bank in April 2027, aiming to convert one of the country’s largest retail footprints into a mass-market banking proposition. The JSE-listed group disclosed the launch date in its interim results announcement and investor presentation on Tuesday, 26 May 2026.

The bank, currently operating under the project codename PlusB, is targeting 1.8 million primary banking customers within five years of going live. Pepkor submitted its Section 16 banking application to the Prudential Authority of the South African Reserve Bank at the end of March 2026, the final regulatory step before formal registration as a bank.

Chief financial officer Riaan Hanekom told investors the group now expects to spend no more than R920 million in total to build the bank up to launch, below an earlier internal target of about R1 billion. Chief commercial officer Garth Napier said the bank would combine digital and physical channels, with customers able to transact across more than 6,500 Pepkor-owned stores.

Why it matters

Pepkor’s move pushes the owner of Pep, Ackermans, Legit and OK Furniture directly into competition with established banks and challenger lenders such as TymeBank, Discovery Bank and Bank Zero. South African retailers are increasingly building financial services arms because banking products offer steadier, higher-margin income than discount retail and create deeper customer engagement.

The proposition is built around lower-income and informal-market consumers, many of whom shop daily at PEP and Ackermans and remain underbanked. Pepkor told investors it already processes about 22 million cash-in and cash-out transactions and roughly 4 million bill payments a year through its existing financial services platforms, giving the group an established base of transactional behaviour to convert into deposits.

The launch also lands in a market where short-term consumer cash flows have been supported by South Africa’s two-pot retirement system. Pepkor’s interim results flagged the ongoing two-pot withdrawals as a contributor to the spending tailwind that fed its first-half growth.

Key details and figures

The bank announcement formed part of strong interim results for the six months ended 31 March 2026. Pepkor reported group revenue up 13.2% to R54.8 billion, normalised headline earnings per share up 12.1%, and statutory headline earnings per share up 10.3% to 93.1 cents.

Operating profit grew 9.4% to R6.3 billion. The financial services segment, which will underpin the bank, posted revenue growth of 41.6% to R3 billion and a 63.4% increase in operating profit to R691 million.

Pepkor’s existing financial services scaffolding for PlusB is already at scale. The FoneYam smartphone rental book grew 53% over twelve months to R2.6 billion, with 1.3 million new accounts activated during the half. Personal loans platform Capfin expanded to 378,000 active loans, and Abacus Insurance more than doubled its revenue. The informal-market platform Flash recorded throughput of R34.7 billion, up 20.3%, with 176,000 active traders at period end.

The bank’s foundations were laid in October 2025, when Pepkor acquired fintech platform CloudBadger Technologies for R252 million to provide the core digital infrastructure. At its capital markets day in March 2026, Pepkor told sell-side analysts that PlusB is targeting a return on equity above 30% by its fifth year of operation, with the business expected to break even in 2030. The group reported 32 million customer touchpoints across its 6,500 physical locations.

What happens next

Final regulatory clearance for the bank rests with the Prudential Authority’s review of Pepkor’s Section 16 application, which is the licence step required before the group can formally operate as a registered bank in South Africa. The April 2027 launch date is conditional on that approval.

Pepkor has appointed Merwe Scholtz as the planned bank’s chief executive. An independent advisory board for PlusB is being assembled, with seven of nine roles already filled, while the chair and chief financial officer of the new bank have been identified but not yet formally appointed. The group strengthened its banking expertise at board level in December 2025 with the appointment of former Investec Bank chief executive Richard Wainwright as an independent non-executive director.

Trading conditions for the rest of the 2026 financial year are expected to remain challenging. Pepkor reported like-for-like sales growth of 3.7% in the first eight weeks after March 2026, measured against a high 10.8% prior-year comparable base. The group has not yet disclosed the consumer-facing brand name under which the bank will trade once licensed, nor the full product suite at launch.
